Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Squares App Inc., a Delaware corporation ("Squares", "we", "us", "our"), governing your access to and use of the Squares website, mobile applications, APIs, and related services (collectively, the "Service"). By creating an account or otherwise using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Squares is a marketplace that lets users ("Guests") discover venues — including event spaces, studios, lofts, and coworking hubs — and unlock contact information for the owners or operators of those venues ("Hosts"). Squares is not a party to any rental, booking, payment, or other transaction between Hosts and Guests, does not own, operate, manage, or control any venue, and does not act as a real-estate broker, agent, insurer, or financial institution.

2. Eligibility & Account

  • You must be at least 18 years old and able to form a legally binding contract.
  • You must provide accurate information and keep it up to date.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You may not share, sell, or transfer your account.

3. Credits, Subscriptions & Payments

  • Some features (such as unlocking Host contact details) require credits or an active premium subscription.
  • All prices are listed in USD unless otherwise stated. Local-currency displays are estimates.
  • Payments are processed by third-party providers (e.g. Paddle). By purchasing, you also agree to those providers' terms.
  • Credits and subscription fees are non-refundable except where required by law. Unused credits do not expire unless your account is terminated for breach.
  • Subscriptions renew automatically until cancelled. You may cancel at any time from your dashboard; access continues until the end of the paid period.

4. Host Listings & User Content

  • Hosts are solely responsible for the accuracy, legality, and quality of their listings, including titles, descriptions, photos, addresses, prices, and availability.
  • You represent and warrant that you own or have all necessary rights to upload any content and that it does not infringe any third-party right.
  • You grant Squares a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, translate, modify, display, and distribute your content for the purpose of operating and promoting the Service.
  • We may, but are not obligated to, review, moderate, translate, edit, or remove any content for any reason.

5. Prohibited Conduct

You agree not to:

  • Post false, misleading, fraudulent, illegal, infringing, defamatory, or harmful content.
  • Circumvent the unlock or payment system, including by sharing unlocked contact details with third parties or scraping listings.
  • Use the Service to spam, harass, or solicit Hosts or Guests outside the platform's intended purpose.
  • Attempt to access accounts, data, or systems you are not authorized to access; reverse-engineer or interfere with the Service; or upload malware.
  • Violate any applicable law, regulation, sanctions program, or third-party right.

6. Off-Platform Transactions & Risk

Any communication, agreement, payment, rental, event, or other transaction that occurs off-platform between a Host and a Guest is solely between those parties. Squares is not responsible for verifying identities, the existence, legality, quality, safety, or condition of any venue, the conduct of any user, or the performance of any agreement. You use the Service and interact with other users at your own risk and are responsible for conducting your own due diligence.

7. Intellectual Property

The Service, including all software, design, branding, and content created by Squares, is owned by Squares App Inc. or its licensors and is protected by intellectual property laws. Except for the limited license to use the Service granted herein, no rights are granted to you.

8. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including breach of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. SQUARES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY VENUE OR USER INFORMATION IS ACCURATE, RELIABLE, OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUARES APP INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE AMOUNTS YOU PAID TO SQUARES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Squares App Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Service, (b) your content, (c) your violation of these Terms or any law, or (d) your interactions with any other user, Host, or Guest.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Except where prohibited by law, you and Squares agree that any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You and Squares waive any right to a jury trial and to participate in any class or representative action.

13. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date and, where appropriate, communicated by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance.

14. Miscellaneous

These Terms are the entire agreement between you and Squares regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them freely.
